Desired Transaction: Acquisition of client Engagements/cash out/sellers stay on until all clients transition over to buyer. Claw-back clause required to protect against attrition.

Transaction Purpose: Establish new office location, Acquire market share, Acquire/Retain talent, absorb when possible into existing offices.
